Terms & Condition

1. Acceptance of Terms

By accessing this website and/or engaging WTSolvers for any service, including Brand Design, Software Development, or IT Consultancy, the Client agrees to be bound by these Terms and Conditions. If the Client disagrees with any part of these terms, they must not use the website or engage the services of WTSolvers. Specific project details, scope, timelines, and deliverables will be governed by a separate, signed Statement of Work (SOW) or Master Services Agreement (MSA), which will reference and incorporate these general terms.

2. Services Provided

WTSolvers provides technology solutions, including Brand Design, UI/UX Design, Full Software Development, Mobile App Design and Development, and IT Consultancy. The scope of work for each engagement is strictly defined in the relevant SOW or contract signed by both parties. WTSolvers reserves the right to use subcontractors or external consultants to complete portions of the work, provided such subcontractors are bound by confidentiality obligations.

3. Client Responsibilities

The Client is responsible for the timely provision of necessary information, content, data, and access credentials required by WTSolvers to perform the services. Delays caused by the Client may affect project timelines. The Client must promptly review and provide constructive feedback on deliverables within the timeframes specified in the SOW. The Client warrants that all content (text, images, media) provided to WTSolvers for inclusion in the project does not infringe upon the intellectual property rights of any third party.

4. Payment Terms

Unless otherwise specified in the SOW, payments are due according to the schedule outlined in the project contract, such as retainer or milestone payments. All prices are quoted exclusive of applicable taxes, which will be added to the invoice where required by law. WTSolvers reserves the right to halt work or withhold the transfer of final intellectual property (IP) until all outstanding invoices are paid in full. Late payments may incur interest charges as defined in the SOW.

5. Intellectual Property (IP) Ownership

The Client retains all IP rights to any materials provided to WTSolvers for the project. WTSolvers retains all IP rights to its underlying tools, general frameworks, pre-existing code libraries, methodologies, and know-how used to develop the deliverables. Upon full and final payment of all invoices relating to a project, WTSolvers will assign and transfer ownership of the custom-developed software, designs, or other final deliverables to the Client.

6. Warranties and Limitation of Liability

WTSolvers warrants that the services will be performed in a professional and workmanlike manner. WTSolvers typically offers a limited warranty period (e.g., 30 or 60 days) after launch during which it will fix bugs or defects in the developed software that cause it to deviate from the specifications in the SOW. This warranty does not cover issues arising from changes made by the Client or third-party components. EXCEPT AS EXPRESSLY PROVIDED HEREIN, WTSolvers MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WTSolvers shall not be liable for any indirect, incidental, special, or consequential damages. The total liability of WTSolvers to the Client for any and all claims shall not exceed the total fees paid by the Client to WTSolvers for the specific services giving rise to the claim.

7. Confidentiality and Termination

Both parties agree to maintain the confidentiality of any non-public information received from the other party during the engagement, including technical and business information. Either party may terminate the agreement for a material breach of these terms or the SOW, provided written notice is given and the breach is not cured within a specified period (e.g., 30 days). Upon termination, the Client shall pay WTSolvers for all work completed up to the date of termination.
